The merger offer was the least predatory on the table for the administrator to choose from. Fitzy wanted a Blue & Gold 'Parramatta Bears' playing full time out Parramatta stadium. Newcastle offered a 'merger' on the condition that the clubs colours, name and home ground remained the same!

Well, the Bears were put into administration without warning several weeks before the criteria.
Hard to know exactly why - especially when the Board has earlier told members and supporters that debts were only around $1 million.
You would need to ask Geoff Bellew - he was the Bears CEO at the time. Or maybe Bob Saunders - he was on the board at the time too. My memory's hazy - but I think they ended up working at Manly.
Also, the Norths Leagues Club was the major creditor of the Bears - so, even tho they had $12 million to put into the Football Club, they must have voted for administration - even tho the Bears had a regional NRL licence and a stadium at Gosford - all of which then went to Manly.
Sort of raises a few questions, doesn't it? Although, denying obvious facts is one way to duck the issue.

Bears weren't broke, Manly were broke. Bears had a licence - a reginal licence - Manly might not have got a licence under the criteria because they were broke. Yet, somehow, a broke Manly ends up with Gosford and an NRL licence! And who was head of the ARL?
And, Einstein, for your education, if you have $4 million in debt (your creation) and $12 million in funds, that means you're solvent. However - Only in rugby league can a solvent club iwth an NRL licence somehow be put into administration, destroyed and lose the licence - while the broke club takes their major asset (Gosford) and survives.
